Terms of Service

vps.taxi is operated by ZTNV Limited, a private company incorporated in Hong Kong. Registered office: Unit 1603, 16th Floor, The L. Plaza, 367-375 Queen's Road Central, Sheung Wan, Hong Kong.

In these terms, "we", "us" and "our" mean ZTNV Limited. "You" means the person or organisation that holds a vps.taxi account.

1. About these terms

1.1 These terms apply when you create an account at https://my.vps.taxi or order a service from us. By doing either, you agree to them.

If they conflict, these terms apply. The order details decide the price and resources of a service.

1.3 If you accept these terms for a company or other organisation, you confirm that you are authorised to do so. The organisation is then the customer.

1.4 We may offer translations of these terms. If a translation differs from the English version, the English version applies.

2. Who can use the service

2.1 You must be at least 18 years old and able to enter into a binding contract.

2.2 You may not use the service if:

(a) you are located in, ordinarily resident in, or organised under the laws of a country or region that is subject to comprehensive sanctions under the sanctions laws referred to in (b); or

(b) you are named on a sanctions list of the United Nations, Hong Kong, the United States, the European Union or the United Kingdom, or are owned or controlled by someone who is.

If either applies, we will close your account. Where sanctions law prevents us from returning money, we will not refund it.

2.3 The information you give us must be accurate and kept up to date, including your name, country and email address.

3. Your account

3.1 Keep your password safe. You are responsible for everything done through your account. If you think someone else has access to it, tell us at support@vps.taxi straight away.

3.2 We send emails about orders, invoices, your services and changes to our terms to the address on your account. Use an address you check.

3.3 We may check an order before or after we set it up, and ask for more information to verify your identity or your payment. We may decline an order, or cancel a new service that does not pass these checks. If we do, we refund it in full.

4. The service

4.1 We provide virtual private servers ("servers"). Each server has the virtualisation type and resources shown for its plan when you order it.

4.2 You get full administrator (root) access to your server. You choose, install and manage the software on it. We do not manage, update or monitor the software inside your server.

4.3 IP addresses. The IP addresses included with each plan, and any options to add or remove addresses, are shown on the order page. If you choose a server without an IPv4 address, it cannot reach, or be reached from, systems that only use IPv4.

4.4 The IP addresses we assign remain ours. You may use them while your service is active. When the service ends, they return to us. We may need to change an address for technical or legal reasons. Where we can, we will tell you in advance.

4.5 Each server is located in the data centre shown on the order page or in the customer area. Some websites and apps estimate where an IP address is by using geolocation databases. These databases are run by third parties and updated on their own schedules, so they may show a different location for a server's address, particularly for newly assigned addresses. We can't control or guarantee how these databases list our addresses. If you notice an outdated entry, please let us know and we'll do our best to request a correction from the provider.

4.6 Delivery. Servers are usually set up automatically within a few minutes of payment, and we email you the access details when your server is ready. If your server has not been delivered within 3 days of your payment, you can cancel the order for a full refund (see the Refund and Billing Policy).

4.7 Support. Contact support@vps.taxi. We help with your account, billing, and problems with our hardware and network. We do not provide support for software you install on your server.

5. Your data and backups

5.1 Unless your order includes a backup service, we do not keep backups of your server. You are responsible for keeping copies of your data somewhere other than your server.

5.2 Data on a server can be lost through hardware failure, software errors, security incidents or human mistakes. To the extent the law allows, we are not liable for loss of data stored on your server.

5.3 When a service ends, we delete the server and all data on it. We cannot recover it afterwards.

5.4 We may access your server where needed to provide support you ask for, to investigate abuse or a security problem, or to comply with the law.

6. Availability and maintenance

6.1 We do not guarantee that the service will run without interruption. We do not offer an uptime guarantee or service credits.

6.2 We may need to stop, restart or move your server for maintenance. For planned work, we will try to tell you by email in advance. Urgent work, such as security fixes or repairs, may happen without notice.

7. Acceptable use

7.1 You must follow the Acceptable Use Policy. You are responsible for all activity on your server. This includes activity by people you give access to, and by anyone who gets in through a security weakness.

7.2 Outbound email may be restricted. The Acceptable Use Policy explains this.

8. Fees and payment

8.1 Prices, the currency and the billing period are shown on the order page, and the payment methods you can use are shown at checkout. Services are billed in advance. The Refund and Billing Policy explains invoices, payment, late payment, cancellation and refunds.

8.2 If an invoice is not paid on time, we suspend and then terminate the service as set out in the Refund and Billing Policy. Termination deletes your server and its data.

8.3 We may change our prices. We will email you at least 30 days before a higher price applies to an existing service. If you do not accept the new price, you can cancel before it applies.

9. Ending the service

9.1 By you. You can cancel a service at any time in the customer area. You can choose for the cancellation to take effect immediately or at the end of the period you have paid for. The Refund and Billing Policy explains when refunds apply.

9.2 Suspension by us. We may suspend a service, with or without notice, if:

9.4 We may stop offering a plan or the whole service. We will give you at least 30 days' notice by email and refund any unused time you have paid for.

9.5 When a service ends, we delete the server and its data and take back its IP addresses. Any amount you owe us remains payable.

10. Privacy

The Privacy Policy explains what personal data we collect, why, who we share it with and what rights you have.

11. Liability

11.1 The service is provided "as is". To the extent the law allows, we make no promises about the service beyond those in these terms. For example, we do not promise that it is fit for a particular purpose or free of errors.

11.2 To the extent the law allows, we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.

11.3 To the extent the law allows, our total liability to you for all claims about a service is limited to the amount you paid us for that service in the 3 months before the event that caused the claim.

11.4 Nothing in these terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.

12. Claims against us caused by your use

To the extent the law allows, if a third party makes a claim against us because of content on your server, or because you breached these terms or the Acceptable Use Policy, you will cover the reasonable costs and losses we incur because of that claim, including legal fees.

13. Changes to these terms

13.1 We may update these terms and the policies listed in section 1.2. For changes that affect your rights or obligations, we will email you at least 14 days before they take effect. Changes required by law, or needed urgently to deal with security or abuse, may take effect sooner. Minor changes, such as corrections or new contact details, can take effect at any time.

13.2 If you do not accept a change, you can cancel your services before it takes effect. If you keep using the service after that date, the new terms apply to you.

14. General

14.1 We are not responsible for failures or delays caused by events outside our reasonable control, such as power or network failures at third parties, natural disasters, or actions of governments.

14.2 We may transfer our rights and obligations under these terms to another company that takes over the service. We will tell you in advance. You may not transfer your account or these terms without our written agreement. You can move a service to another account with the Push feature in the client area. Once the other account accepts, that account takes over the service, including its renewals and how it is used.

14.3 We send notices to the email address on your account. You can send notices to support@vps.taxi or to our registered office.

14.4 If any part of these terms is found invalid, the rest still applies.

14.5 If we do not enforce a right straight away, we can still enforce it later.

14.6 These terms, together with the documents in section 1.2, are the whole agreement between you and us about the service.

15. Law and disputes

15.1 These terms are governed by the laws of Hong Kong.

15.2 If you have a complaint, please contact us first at support@vps.taxi so we can try to resolve it.

15.3 The courts of Hong Kong have jurisdiction over disputes about these terms or the service. This does not take away any mandatory consumer protection rights you have under the law of the country where you live.
